BISHAR, ET UX ("Grantor") hereby grants to SANTA FE IRRIGATION DISTRICT ("SFID") and SAN DIEGUITO WATER DISTRICT ("SDWD"), public agencies organized and existing under the laws of the State of California, situated wholly in the County of San Diego, State of California ("Grantees"), a permanent access easement for the purpose and right of ingress and egress. Grantor is the fee owner of that certain real property located in the County of San Diego, State of California commonly known as APN 267-163-10, and as more particularly described in Exhibit A attached hereto ("Grantor Property"). Grantor hereby establishes and grants to and for the benefit of SFID and SDWD and their respective contractors, subcontractors, employees, lessees, licensees, permittees, successors and assigns a non-exclusive easement on, over and across the portion of the Grantor Property more particularly described in Exhibits A and B hereto ("Easement Area") for purposes of ingress and egress, including access for passenger and construction vehicles. Said Easement Area is situated wholly within the County of San Diego, State of California, and is more particularly described as follows: SEE EXHIBIT "A" and EXHIBIT"B" ATTACHED Grantor reserves the right to use the Easement Area at Grantor's own risk for any and all purposes not conflicting, interfering or inconsistent with its use by Grantees; provided; however, that Grantor shall not increase or decrease or permit to be increased or decreased the ground elevations of said easement as identified in the attached Exhibits. Grantor agrees for itself, its successors and assigns, not to erect, place or maintain, nor to permit the erection, placement, or maintenance of any buildings,planter boxes, earthfill, trees, shrubs, blocks, walls, decking, structures and other similar improvements that would unreasonably 1 interfere with the ability of Grantees to exercise the access rights granted herein. Grantees may remove from the easement any tree, building, structure, improvement or other encroachment, and the cost of such removal shall be the sole responsibility of Grantor who shall promptly reimburse Grantees for such costs. Grantees may utilize ingress and egress at any time without prior written consent of the Grantor. Grantor may use the Easement Area as a driveway to the extent that ingress and egress is not blocked and to the extent of such use may surface or pave the area with asphalt, concrete, or other paving subject to the foregoing restrictions as to changes in ground elevation. Grantor shall maintain the Easement Area in good order and repair. Grantor waives any right under Civil Code section 845, and any other right, to compel Grantees to repair, grade, surface or otherwise improve or maintain said easement as a roadway or private right-of-way. Grantees shall not be liable for any damage to property that may result from the reasonable ingress and egress use of the Easement Area. Any and all damages from Grantees' reasonable ingress and egress use are the responsibility of the Grantor. Grantor shall not cause the discontinuance of access to any portion of the Easement Area unless Grantees receives, without expense to Grantees, and subject to Grantees' prior written consent, an easement comparable to this easement for said relocated ingress and egress. Each and all of the covenants, conditions, easements, and restrictions set forth in this Grant of Easement shall run with the land comprising the Easement Area and the Grantor Property, and shall apply to and bind Grantor and Grantees and their respective successors-in-interest.
