AGREEMENT FOR INGRESS/EGRESS DRIVEWAY EASEMENT
Preamble
This Agreement made this &_day of 2010, by and between JAESON
GALLI and MEGHAN L. GALLI, hereinafter collective y referred to as "Grantor", and JOHN E.
THILL and KATHY JO THILL, hereinafter collectively referred to as "Grantee."
Recitals
WHEREAS, Grantor is the owner of that certain parcel of real property commonly known
as 675 Quail Gardens Lane. Encinitas,CA 92024, Assessor's Parcel No.257-011-31-00, in the City
of Encinitas, County of San Diego. State of California, hereinafter collectively referred to as the
"Servient Tenement." and described as follows:
SEE EXHIBIT "A" ATTACHED HERETO
AND WHEREAS, Grantee is the owner of that undeveloped certain parcel of real property,
Assessor's Parcel No. 257-011-39-00, in the City of Encinitas. County of San Diego, State of
California, hereinafter referred to as the "Dominant Tenement," and described as follows:

AND WHEREAS, Grantor wishes to grant to Grantee an Easement for ingress, egress,
driveway, and related purposes, including the right to grade beyond the easement boundaries for
slope and drainage, and utility requirements;

NOW THEREFORE, the parties agree as follows:
Easement
1. For valuable consideration,receipt of which is hereby acknowledged,Grantor hereby grants
to Grantee that certain Easement described herein. The grant of this Easement shall not be
construed and is not intended to grant a fee interest in the Easement area, nor is it intended
to be a lease or license.
Description of Easement
2. The Easement granted is described on the legal description attached hereto as Exhibit "C".
Location
3. The Easement granted is located as follows: see the plat/diagram of the Easement attached
hereto as Exhibit"D"
Character of Easement
4. The Easement granted is appurtenant to the Dominant Tenement.
Exclusiveness of Easement
5. The Easement granted is non-exclusive.
Secondary Easement
6. The Easement granted includes incidental rights of maintenance, repair, and replacement.
Use of Easement
7. The Easement is for construction, maintenance, repair and use of a driveway, and related
purposes.
Maintenance Agreement
8. Dominant Tenement shall be responsible for and pay all costs of permits, grading and
construction of the Easement. Dominant Tenement also agrees to be solely responsible for
maintenance,repairs and improvement in perpetuity to that portion of the easement described
in Exhibit "E" (legal description) and Exhibit "F" (schematic). It is the intention of the
parties that all owners utilizing the easement(including Thil1,Galli and the owner of the lot
to be split by Galli) shall be jointly and equally responsible for maintenance, repairs and

improvement in perpetuity to that portion of the easement described in Exhibit "G" (legal
description) and Exhibit "H" (schematic). Any such maintenance shall be scheduled and
completed in a timely manner so as to minimize disruption of access and use of the easement
area. Notwithstanding anything to the contrary contained herein. Grantor reserves the right
to install a sewer main and SDG&E facilities, and grant utility easements to the utility
company(ies), through the driveway easement area described herein. Grantor will timely
repair any damage to the driveway easement facilities caused by Grantor herein.
Design Review
9. Prior to the construction of the easement facilities by Grantee, the design of any
improvements for the easement shall be reviewed and approved by Grantor. Grantor's
approval shall not be unreasonably withheld.
Indemnity
10. Grantee agrees to indemnify and hold Grantor harmless from any and all liability. claims,
damages and/or injuries of any nature resulting directly or indirectly from Grantee's use or
maintenance of the Easement.
Abandonment
11. Should the easement facilities not be kept in a repaired and well-maintained manner for a
period of at least thirty (30) days after notice from Grantor to Grantee. Grantor reserves the
right to perform such maintenance and/or repairs and Grantee shall reimburse Grantor for
such maintenance and/or repairs within thirty (30) days.
Entire Agreement
12. This instrument contains the entire agreement between the parties relating to the rights herein
granted and the obligations herein assumed. Any oral representations or modifications
concerning this instrument shall be of no force and effect excepting a subsequent
modification in writing, signed by the party to be charged.
Binding Effect/Covenant With the Land
13. The benefits and obligations of the covenants herein shall run with the land described herein
so long as this Agreement is in effect and shall bind the respective parties hereto,their heirs,
successors,personal and legal representatives,grantees,and assigns,and all persons claiming
under them from the date this easement is recorded.

Compliance With Law/Cooperation
14. It is understood and agreed that all parties have the continuing duty to assure that the
operation of said easement is done in compliance with all the State and local laws and
regulations. It is understood and agreed that this entire Agreement is subject to such laws
and regulations. Both parties agree to cooperate with the other and execute all documents
necessary to carry out the intentions of the parties as set forth herein.
Dispute Resolution/Attorney's Fees
15. Any controversy or claim arising out of this Agreement, or the breach thereof shall be
settled by mediation, and then arbitration if necessary in accordance with'the Rules of the
American Arbitration Association, and judgment upon the award rendered by the
Arbitrator(s) may be entered in any Court having jurisdiction. Should any arbitration be
commenced between the parties to this Agreement concerning this Agreement, or the
rights and duties of either party in relation thereto, the party prevailing in that arbitration
shall be entitled to, in addition to any other relief granted, reasonable expenses, costs and
a reasonable sum as and for attorney's fees.
Time is of the Essence
16. Time is of the essence of each provision of this Agreement.
