SANTA FE IRRIGATION DISTRICT
and SAN DIEGUITO WATER DISTRICT
For good and valuable consideration, receipt of which is hereby acknowledged, the
undersigned THE ENVIRONMENTAL TRUST9 INC., a California non-profit corporation, as
Grantors, hereby grant to SAN'T'A FE IRRIGATION DISTRICT, an irrigation district, and SAID
DIEGUIT® WATER DISTRICT, an irrigation district, both organized and existing under the laws
of the State of California, situated wholly in the County of San Diego, State of California, as Grantee,
a permanent easement for the purpose of laying underground flume waterline and laterals, and other
underground and surface structures appurtenant to said flume water line, hereinafter referred to as
"said facilities," together with the right to construct, operate, maintain, repair and replace said
facilities, and the right of ingress and egress for such purposes, including, at the sole discretion of
Grantee, use by the San Dieguito River Park JPA as a regional walking/riding trail system. Said
easement is situated wholly within the County of San Diego, State of California, and is more
particularly described as follows:

Grantor reserves the right to use said land at Grantor's own risk for any and all purposes not
conflicting; inteifering or inconsistent with its use by Grantee; provided; however, that Grantor shall
not increase or decrease or permit to be increased or decreased the ground elevations of said
easement existing at the time this document is executed, nor shall Grantor plant any trees, concrete
slab, concrete pavement, improvement or other encroachment upon said easement without "the
previous written consent of Grantee. Grantor waives any right under Civil Code section 845, and any
other right, to compel Grantee to repair, grade, surface or otherwise improve or maintain said
easement as a roadway or private right-of-way. Grantor may, at the sole expense of Grantor, and
subject to Grantee's written consent, relocate Grantee's facilities in the event that they conflict with
the future development of said property, providing that Grantor does

It is hereby understood and agreed upon by the Grantor and Grantee herein, that the right
and privilege set forth for the use of the above described temporary construction easement
shall be in full force and effect from the date of execution of this instrument, and shall
continue in fill during the construction of said pipeline, and that upon completion, final
inspection, and acceptance of the flume pipeline by said Grantee herein, the easement for
temporary construction hereby granted and described above, shall cease and terminate,
and become of no further force or effect.
Parcel 4:
TEMPORARY CONSTRUCTION S'T'AGING AREA EASEMENT
An easement for temporary construction staging areas, said easement shall include, but
not be limited to, the right of privilege of workmen, contractors, and any and all agents

employed by the Grantee herein, to use and occupy said temporary construction staging
areas easement for the purpose of constructing a new flume pipeline, and any and all
appurtenances incidental thereto, within the lands of the Grantor herein, said easement
shall include the right and privilege to place and operate any and all machinery on said
easement which the Grantee herein, or any agent or contractor employed by said Grantee,
deems necessary for the construction of said flume pipeline, said temporary construction
staging areas easement herein above referred to being more particularly described as
follows:

forever quitclaims to THE ENVIRONMENTAL TRUST, INC., a California non-profit
corporation, the following described real property in the County of San Diego, State of California:
Parcel 16 of Grant Deed granting an easement to the Santa Fe Irrigation District and
the San Dieguito Water Distract to construct, operate and maintain a conduit for the
purposes of conducting, transmitting, distributing and conveying water through, over
and across that certain real property particularly described as follows:
The Southwest One-Quarter of the Northwest One-Quarter of the Southwest One-
Quarter, of Section 18, Township 13 South, Range 2 West, S.B.M. to the extent that
a conduit for said, or any of said purposes has been constructed, maintained and/ or
operated in the past, per documents recorded in the office of the County Recorder of
San Diego County, December 11, 1970, in book 1970, as file no. 228121 of official
records.
The exact location is not described by legal description but by the physical location of said
conduit.
The above described real property being quitclaimed includes a 42" open and enclosed flume
below the surface of the ground which is being left in place in an "as-is" condition. Owner of Record
acknowledges that the Santa Fe Irrigation District and the San Dieguito Water District are conveying
all rights, title and interest to the easement, right-of-way, and abandoned pipeline to the Owner of
Record in an,,as-is" condition. Owner of Record further acknowledges that the Santa Fe Irrigation
District and San Dieguito Water District do not warranty the condition of the abandoned ect flan hold
guarantee its fitness for any purpose. Owner ofRecord agrees to defend, indemnify, Prot

harmless the Santa Fe Irrigation District and the San Dieguito Water District, each member of its
board of directors, agents, officers and employees from and against any and all claims asserted or
liability established for damages or injuries to any person or property, including bodily injury to
Owner of Record's employees arising out of or in any manner directly or indirectly connected with
Owner of Record's use of the quitclaimed easement, right-of-way, and abandoned flume, however
caused, except for the sole negligence, willful misconduct or active negligence of the Santa Fe
Irrigation District and San Dieguito Water District. Grantors will still operate and maintain the
existing Flume within the subject easement until replacement pipeline located at APN 678-021-03 is
constructed and fully operational.

WHEREAS, a form of quitclaim deed releasing an easement has been presented to the Board, a copy of
which is attached hereto as Exhibit A; and
WHEREAS, the easements are no longer necessary for District purposes, and it is in the
interest of the District to release that easement;
NOW THEREFORE, IT IS HEREBY RESOLVED, DETERMINED AND ORDERED by the Board
of Directors of Santa Fe Irrigation District as follows:
1. That said form of quitclaim deed be and is approved.
