COVF ARTS herein on the part of the District and of the faithful keeping of them by it; the band Company hereby grants unto the District; its successors and a;ssigns,, the right to lay, maintain and operate a water pipe line over; upon and through the Rancho.Santa Fe, as per map of said Rancho Santa Re on file in the office of the' County Recorder of said County of San Diego, and numbered 1742, -1- O" (except whore.said pipe line crosses county or public highways); the location of said pipe line being more par- titularly describers in Exhibit "A" hereto attached, hereby referred to and made a part hereof TOGI TIMR WITH the right of ingress and egress to and from said pipe line upon and over the lots in said Rancho upon which 'said pipe line is constructed,. to such -an extent as may be necessary to permit its agents.and employes engaged in the construction., maintenance and repair of said pipe lime to construct, maintain and repair the same; PROVIDED, however, that said right of ingress and egress must be exercised by them in such a way as will do the least possible damage to the land, plantings or improvements thereupon; TO RM AND TO HOLD the rights hereby given unto the District so long as the pipeline installed hereunder shall be maintained and used by the District. ARTICLE- $1. IN COVSI13LRATI'ON OF THE RIGHTS MREBY GIVEN it by the Land Company, the District hereby agrees, for the benefit of the Land Company, its successors and assigns,.and of future owners or occupants of any lots on said Rancho Santa Fe crossed by said pipe line, as follows: 1.' To construct,, lay and complete said pipe line upon the Land Company's property in accordance with the contract specifications for the same, and thereafter to 2 ,p I maintain said pipe line so as to do the least possible damage to the property upon which it is laid-;- the work of trench digging, pipe laying, and "back-filling. must be done as expe- ditiously as possible and with not more than sixty days time elapsing between starting the excavation of the trench and. the back-filling being completed after pipe is laid, but across roads or highways the trench shall not be allowed to remain open more than twenty-four (24) hours &,ad if the trench is left open over night red lights must be kept burning at all such roods or highways from sunset to sunrise. The trench must be back-filled in a manner satisfactory to the Land' Company* for its entire length through said Rancho Panta Fe, including crossings of roads or County highways within said Rancho. 2, All construction material left over after the pipe line is installed-must be promptly removed from the premises; surplus earth left after back-filling is finished must be disposed of as follows:- if it is of 'a character not detri- raerita.l to the land it may be evenly spread or scattered over the. surface, but if it is detrimental - and as to these ques- tions the 1a.nager of the Rancho Santa Fe must be the judge - it must be removed by the District to a place inhere it would be unobjectionable. 3® To lay the pipe line so that the top thereof shall be at least twenty-four (24) inches below the original surface of the land except where necessary to cross narrow ravines; and in these places in order to ;provide reasonable -3 I construction wort. the pipe line ma.y be laid on top of the ground or at a depth less. than saiid twenty-four (24) inches provided the engineer of the Land Company a:pproves.the same in writing upon the District's profile map prior to such construction. 4. To repa.ir.all leaks which may occur in the pi;)e line proanptly after their occurrence. Failure on the pert of the District to repair such leaks within eighteen (l8) hours after they have developed, shall give the Land Company, its successors and. assigns, the right to have the water shut off at the point of delivery into said pipe line, or in case of a serious break to have said water shut off immedip,.te.ly. in emptying said pipe line by the District for any purpose, the Diatrict shall do the same- without daraage or inconven- ience to the ;property of the Land Company or any one claiming under it. 5. That where daftag e is done to any, plantings or improvements upon the land cros.sec3 by 'laid. pipe.. line. by reason of the future :maintenance, repairing and/or emptying of said pipe line, either in respect to the right given for ingress and egress, or to leaks, emptying, or other causes not herein specified, the District must either promptly remddy the damage to the satisfaction of the owner or occupant of the lend upon which such damage occurred, or pay the cost of the damage within thirty (30) days after bill therefor has been presented to it by the party cla. ming on account thereof, --~4- t and in case of dispute as to the amount of such compensation the same shall be determined by arbitration in the manner provided for in Section 2 of Article ?II hereof. ARTICLE III . FOR THE C©YSIDERATION STATED, the parties hereto mutually agree as follows: 1. That. in the event it becomes necessary hereafter to construct water pipe lines for the delivery of water, and which lines cross the pipe line, of the District located upon said Rancho Santa Fe, the Land. Company or any other person or corporation, with its approval and consent, desiring to construct such pipe line or lines crossing over or under said pipe line of the District, shall have the right so to do without any other or further assent from the District, except a notice to the District of its intention. to mare such cross- ing and when. Where any such c rossings of pipe lines occur and damage ensues on account of leaks in the one or the other of said pipe lines, such daftlMe will be assumed and paid by the owner of the pipe line causing the same. 2® That in case any dispute shall arise between- the District on the one side, and the Land company and/or the owner of any land crossed 'by said pipe line of the District on the other side, such. dispute - shall. be settled by arbitration in the usual manner, that is to say, the District shall choose one arbitrator and the other party to the dispute shall choose one-arbitrator, and in case the -5- t two so chosen cannot agree they .sha.11 have the right to select a third arbitrator. The decision of the hoard of Arbitration so chosen, or of a, majority thereof, shall be binding upon the parties to such arbitration proceedings and the expense of such proceedings shall be borne according to the decision of the Board of Arbitration. That nothing.herei.n is intended or shall be con- strued to give the DI.0-tiiet any -right to crobs. public or. County highways with its said pipe lame without having per- mission so to do from the County of San Diego, State of California, in the manner required by law. 4e Neither, the -Land Company.. its successors and assigns, nor any owner or occupant of any lots in said Rancho Santa Fe upon 10iich the District's pipe line is laid, shall be liable fo* r any damage to the said pipe line done i n the ordinary: course of farm work, unless such damage is due to the lack of 'reasonable care . 5. The District shall not have the right to deliver water upon any land within the Santa Fe Irrigation District out of its pipe line herein mentioned or otherwise without the written consent-of the said Santa Fe .Irrigation District.. 6. All rights given th.e District hereunder shall cease and this indenture be null and void if the said pine line across the said Rancho Santa Fe is not fully completed and in use by January, 1st, 1925. 7.
