Poole 6 6 EASEMENT RANCHO CIELO DEVELOPMENT COMPANY, a California Corporation, hereinafter called "Grantor," for the consideration hereby set forth, grants to SANTA FE IRRIGATION DISTRICT, a California Irrigation District, and SAN DIEGUITO WATER DISTRICT, a California Irrigation District, their successors and assigns; hereinafter called "Grantees" an easement., The property over which this Easement is granted is described on Exhibit "A" (Acquisition/Easement Area) attached hereto. This Easement provides for the rights of access, ingress and egress sufficient to allow access to the Easement Area upon which the Bridge Structure is located, sufficient to allow appropriate inspection, maintenance, repair, and operation by the Grantees and the Grantor. This Easement is granted upon the following terms and conditions: 1. PROPORTIONATE. OWNERSHIP: The ownership of the Easement shall be proportionate, Santa Fe Irrigation District shall own 57 1/3% and San Dieguito Water District shall own 42 2/3%. 2. REPLACEMENT OF FLI_TME: The above described Easement shall be used for the purpose of providing a Bridge Structure which attaches to Grantees' flume on either end of the Easement for the purpose of conveying its water from Lake Hodges to the San Dieguito Reservoir. The above described Easement shall be used only and exclusively for the purpose of said water conveyance including the construction, operation, maintenance, repair, replacement and inspection of the described facilities and appurtenances. 3. CONSTRUCTION OF IMPROVEMENTS: On or before July, 1999, Grantor shall have completed the construction of all facilities provided for in the Third Amendment to Agreement Re Relocation of Flume between the parties dated November 13, 1996. Grantor shall construct a replacement for the existing flume as described in Exhibit "B". That portion of the existing flume will be replaced by a new water transmission facility (hereinafter referred to as "Transmission Facility") which is described in Exhibit "C" attached hereto. A portion of the Transmission Facility will include an elevated bridge structure ("Bridge Structure") and decorative surfaces, landscaping, lighting and other feature (collectively SDPUB\CMC\838 "Decorative Features") The Bridge Structure- and Decorative Features are more fully described in Exhibit "D". The remaining portion of the Transmission Facility excluding the Bridge Structure and the Decorative Features shall be known as "Remaining Flume." 4. DFSTGN AND CONSTRUCTION OF THE TRANSMISSION FACILITY: Ownership of the Transmission Facility shall be in proportion as set forth in paragraph 1 above. Grantor shall be responsible for the design and construction of the Transmission Facility. Construction will commence only after review and approval of plans and specifications by Grantees. Construction of all improvements will be completed at Grantor's sole cost and expense, strictly in accordance with the approved plans and specifications. Grantor will furnish all necessary labor and materials in order to complete such construction, which shall comply with the standards, specifications, rules and regulations imposed by Grantees. Construction of the Transmission Facility will be completed in a good and workmanlike manner by workers skilled in their trades. Upon completion of the Transmission Facility, or portions thereof, said Transmission Facility shall become the property of Grantees. 5. OPERATION AND MAINTENANCE: Grantees shall be solely responsible for operating and maintaining the Transmission Facility including the Bridge Structure and the Remaining Flume. Grantor shall be exclusively responsible for operating and maintaining the Decorative Features. The parties agree to maintain their respective facilities in good and sanitary condition and repair. Grantor shall be solely responsible for cleaning, maintaining and repairing stains, corrosion, breakage and other necessary maintenance and repairs to the Decorative Features which may result from water seepage from any portion of the Transmission Facility. In the event the Transmission Facility overflows with water or is damaged by a substantial leak the repair necessary to the Decorative Feature shall be the sole responsibility of the Grantees. 6. INDEMNIFY ATION AND HOLD HARMLESS: Grantor and its agents, officers and employees agree to the full extent allowed by law, to indemnify, defend, exonerate, pay and hold the Grantees harmless from and against all liabilities, obligations, losses, damages, penalties, action, causes of action, judgments, suits, claims, costs, expenses and disbursements of any kind or nature whatsoever (including, without limitation, the fees and disbursements of counsel to the Grantees, and expert witness fees and disbursements) for the Grantees in connection with any investigative, administrative, or judicial proceeding, whether or not the Grantees shall be designated a party thereto, that may be imposed on, heard by, or asserted against the Grantees in any manner to or arising out of or in connection with the actions, omissions, inactions, neglect or breach of any duty by Grantor with regard to the installation, operation and maintenance of the Transmission Facility ("Indemnified Liabilities"). Notwithstanding the foregoing Indemnified Liabilities shall not include liabilities, obligations, losses, damages, suits, claims, costs and expenses and disbursements to the extent caused by or resulting from the fault, neglect, omission, misconduct or sole negligence of the Grantees. Following acceptance of the Bridge Structure and/or Remaining Flume sections, Grantees agree to indemnify, defend and hold the Grantor harmless from and against all liabilities, obligations, losses, damages, penalties, actions, causes of action, judgements, suits, claim costs expenses and disbursements of any kind or nature whatsoever (including without SDPUB\CMC\838 limitation fees and disbursements of Counsel-to the Grantor and expert witness fees and disbursements) for the Grantor in connection with any investigative, administrative or judicial proceeding whether or not the Grantor shall be designated a party thereto, that may be imposed on, incurred by or asserted against the Grantor in any manner to or arising out of or in connection with actions, omissions, inactions, neglect or breach or duty by Grantees with regard to the Transmission Facility ("Indemnified Liabilities"). Notwithstanding the foregoing Indemnified Liabilities shall not include liabilities, obligations, losses, damages, suits, claims, costs and expenses and disbursements to the extent caused by or resulting from the fault, neglect, omission, misconduct or sole negligence of the Grantor or assigns. 7. GUARANTEE Grantor guarantees the Transmission Facility against leaks, breaks and malfunctions due to defective or inadequate materials or workmanship for a period of one year following the date of acceptance of the Transmission Facility, or any portion thereof, by the Grantees. Grantor agrees that all leaks, breaks and malfunctions occurring within said time period are presumed to result from defective or inadequate materials or workmanship unless Grantor establishes the contrary by clear and convincing evidence. Grantor shall promptly repair or replace, at no cost to the Grantees, any of the work that may prove to be defective. If Grantor fails to comply with the Grantees' request. for correction within ten days after being notified to do so or fails in the case of emergency to immediately correct the defects, Grantees is authorized to have the defects repaired at Grantees' own expense and Grantor, or its assigns, agrees to reimburse the Grantees for the related costs and charges, plus interest on such amount at the highest legal rate immediately upon demand of the Grantees. TERM: The term of the Easement shall be in perpetuity commencing on July 1 , 1997, unless sooner terminated as herein provided. In the event this Easement is no longer required or if Grantees cease utilizing the Transmission Facility occupying said Easement, Grantees shall provide Grantor one hundred eighty (180) day notification of its desire to abandon said structures. Upon expiration of the notification period and subject to Grantees taking necessary action to satisfy any environmental or regulatory requirements, complete ownership of, and responsibility for, the Transmission Facility shall revert to Grantor or its assigns. 9. ATTORNEYS FEES: If either party is required to take any action in order to interpret or enforce this Easement, or incurs any expense attributable to a default hereunder, the prevailing party shall be entitled to recover expenses and costs, including reasonable attorneys fees resulting therefrom or connected therewith. 10. ENTIRE A T EEM NTBMIN T EFFECT: This Easement, including the exhibits attached hereto, is intended to implement the Third Amendment to Agreement Re Relocation of Flume between the parties dated 11-13-2,& . Both agreements shall be enforced and shall be interpreted to be consistent with one another. Any modification in either Agreement must be in writing and signed by all parties. Trestle and Siphon Construction FIGURE Detail Built 1917-1919 11 Yd EXHIBIT "C" 1 5 2 2 DESCRIPTION OF TRANSMISSION FACILITY The Transmission Facility consists of the reconstruction of the existing concrete lined trapezoidal channel from a point where the existing flume crosses the eastern boundary line of the Rancho Cielo project, for an approximate length of 4,500 feet, traversing the Rancho Cielo project within the existing Districts' easement and fee property, to a point on the southerly boundary of the Rancho Cielo project where the existing flume crosses Del Dios Highway. ALIGNMENT The flume will be replaced by a pipeline, installed underground, within the existing Districts' easement and right-of-way, which traverses the Rancho Cielo project. A permanent by-pass will be constructed in a modified alignment crossing Calle Ambiente as shown on the Flume Bypass Plans, Sheets 1-3, dated 7-24-96, as prepared by Latitude 33. MATERIAL A 42-inch reinforced concrete pipe (RCP) with water-tight joints will be installed underground within the existing easement and right-of-way controlled by Districts and in the general alignment of the temporary 48" CMP bypass. A concrete junction structure will be constructed at the downstream connection with the existing flume on the north side of Del Dios Highway at the southerly property line of the Rancho Cielo project where the existing flume crosses Del Dios Highway. Said concrete junction structure shall be designed and constructed in general conformance to the details shown on Districts' plans entitled "Lake Hodges Flume Relocation, Sheets 1 through 7, as prepared by Luke-Dudek Civil Engineers, Inc., dated June, 1987. A 42" pipe joint with an air release valve will be utilized to connect the new 42" RCP to the existing 42" pipe siphon at the eastern boundary of the Rancho Cielo project All pipe trench will be backfilled with 3/4" rock to the spring line of the pipe. Native excavated material will be used to backfill the balance of the pipe trench to a finished graded condition. Said backfill will be compacted to a minimum 90% relative compaction. Exhibit "C" November 6, 1996 1.5 2 3 Page 2 _ EXISTING SIPHON STRUCTURE REPAIR New piers and pier foundations will be installed adjacent to the existing piers which support the existing 42" pipe siphon in the vicinity of the eastern boundary of the Rancho Cielo project. The existing 42" pipe siphon shall remain in place. CONSTRUCTION PROCEDURE/TIMING The existing flume will be shut down during construction of connections and during installation of the new pipe. The existing concrete flume will be demolished in place and the existing easement/right-of-way area will be regraded for pipe trenching. The new 42" pipe will be trenched and installed within the existing easement and right-of-way in the general location of the existing concrete channel upon demolition of the channel. Upon installation of the new pipe, the existing Districts' easement and right-of-way areas will be regraded to provide a minimum 2' cover over the top of pipe and to provide adequate drainage across the easement, and right-of-way areas. The reconstruction of the existing flume will be scheduled to minimize the amount of water the Districts would need to purchase from other sources. In addition, the reconstruction may be scheduled to coincide with the periods when the Districts would otherwise shut the flume down for maintenance in order to minimize the cost to the Owner for reimbursement of purchased water. ESTIMATED PERIOD OF CONSTRUCTION It is estimated approximately 55 construction days will be required to reconstruct the flume The actual calendar construction period will be defined depending on the need to phase the reconstruction to minimize the purchase of water by the Districts from outside sources. ENVIRONMENTAL PERMITTING AND CLEARANCES Districts shall assist and cooperate with Owner in processing and obtaining all environmental permits and clearances associated with the construction and installation of the Transmission Facility. 208101rep1de-r.doc ~ 7- Exhibit "C" November 6, 1996 Page 3 1524 MITIGATION OF ENVIRONMENTAL IMPACTS Mitigation of environmental impacts by Owner will be limited to the revegetation of disturbed native vegetation with similar native plant materials. Revegetation will be limited only to those areas disturbed during the course of construction of the flume replacement. 20810\replde-r.doc F1 E 1525 EXHIBIT "D" DESCRIPTION OF BRIDGE STRUCTURE AND DECORATIVE FEATURES BRIDGE STRUCTURE See attached Aqueduct plans, sheet 24, dated 10/22/96, as prepared by Latitude 33, and sheets 25 through 35, dated 10/22/96, as prepared by Simon Wong Engineering. The Decorative Features are architectural/landscape elements and treatments which may be added on and/or about the Bridge Structure strictly for design and aesthetic purposes. These Decorative Features are not "structural" components of the Bridge Structure. For example, Decorative Features may include landscaping, lighting, rock facia, on or about the Bridge Structure, surface treatments on the Bridge Structure such as staining, _ painting, and/or sandblasting, and any additions to the Bridge Structure which are cosmetic and not necessary for the function and operation of the Bridge Structure and water transmission. As a note of clarification, concrete structures can experience water leakage through shrinkage cracks in the concrete. A waterproofing membrane will be applied to the internal surfaces of the Bridge Structure to minimize the amount of leaks. ISSUE: Whether to adopt a resolution accepting the granting of a new easement from Rancho Cielo Development Company and quitclaiming that portion of an existing easement that is no longer needed. BACKGROUND: The San Dieguito Water District and Santa Fe Irrigation District jointly own an existing flume that conveys water from Lake Hodges to San Dieguito Reservoir. A portion of the flume lies within an area that is currently owned by Rancho Cielo Development Company and is in the process of being developed. On November 13, 1996, Rancho Cielo Development Company entered into an agreement with San Dieguito Water District and Santa Fe Irrigation District to replace an existing portion of flume with a new water transmission facility. A portion of the transmission facility includes an elevated bridge structure, landscaping and lighting. ANALYSIS: Rancho Cielo Development Company has completed the relocated flume facilities under the Santa Fe Irrigation District inspection. Attached is a copy of the new 35 foot easement being granted by Rancho Cielo Development Company over the relocated flume facilities. The easement provides for the rights of access, ingress and egress, for inspection, maintenance, and repair by the Districts. That portion of existing flume easement which is no longer needed will be quitclaimed back to the Rancho Cielo Development Company. FISCAL. & STAFF IMPACT: There will be no fiscal or staff impact. The District shall have the rioht to trim or remove any trees or bushes or prevent the planting of any trees or shrubs when in its judgement the same shall be necessary for the convenient and safe exercise of the rights hereby granted. The District shall have the right to remove any buildings, walls or structures constructed within the easement.
