NOTICE OF RELEASE UPON FULL PAYMENT OF INDEBTEDNESS
Fidelity National Title Company, a California Corporation, herein called
TRUSTEE and Cardiff Elementary School District, a California Public Entity, herein
called BENEFICIARY, hereby RELEASE the City of Encinitas, a California Municipal
Corporation, herein called TRUSTOR, from any and all obligations arising out of that
certain Deed of Trust ("Deed of Trust") dated August 31, 2000 and recorded in the Office
of the County Recorder, County of San Diego, on September 21, 2000 concerning the
Real Property described in the attached Exhibits thereto. Specifically, TRUSTEE and
BENEFICIARY hereby acknowledge that TRUSTOR has made full payment, in the
principal sum of $830,000.00, in complete satisfaction of the terms and conditions stated
in the "Addendum #1--Agreement for Purchase & Sale of Real Property & Escrow
Instructions" concerning said Real Property which replaced and superseded the original
Promissory Note dated August 30, 2000 secured by said Deed of Trust. No further
payment obligations are required of TRUSTOR to either TRUSTEE and/or
BENEFICIARY arising out of recordation of said Deed of Trust.

WHEREAS, The City Of Encinitas was the original Trustor,
Fidelity National Title the original Trustee, and
Cardiff Elementry School District the Beneficiary,
under that certain Deed of Trust dated August 30, 2000 and recorded as Instrument no. 2000-0505404 on
September 27, 2000 in book , page , Official Records of the county of San Diego, State of California, and
WHEREAS, the undersigned Beneficiary desires to substitute a new Trustee under said Deed of Trust in place and
stead of Fidelity National Title
now therefore, the undersigned hereby substitutes Cardiff Elementry School District, a California Corporation as

Chris:
As requested, enclosed please find the original "Notice of Release Upon
Full Payment of Indebtedness" executed by Tom Pellegrino, for the Cardiff
Elementary School District ("District'), and Phil Cotton, for the City. Also
attached please find a "Substitution of Trustee and Full Reconveyance"
("Substitution") dated March 29, 2002 (provided by Fidelity National) which had
been previously executed by the District. This document substituted the District
as Trustee for the subject Grant Deed of Trust in place of Fidelity National. By
virtue of this 2002 Substitution, therefore, Fidelity National is not required to sign
off on the Notice of Release.
Thus, for our purposes, the Notice of Release has been fully executed by all
of the necessary parties. Please maintain the originals of these documents for your
records and forward copies of same to the District and any other interested parties.
