JOINT USE AGREEMENT WITH THE CITY OF ENCINITAS
ON FORTUNA RANCH ROAD IN SECTION 9. T. 13S.. R. 3W.. S.B.M.
This Joint V se Agreement is entered into by and between the City of Encinitas
(hereinafter "Grantor") and the Olivenhain Municipal Water District, a Municipal Water District
organized and operating pursuant to Water Code S S 71000 et seq. (hereinafter "Grantee"). This
Joint Vse Agryement shall become effective as of April 17, 2008.
R-E-C-I-T-A-L-S
1. On October 11, 1994, Loren Nancarrow and Susan Marie Nancarrow conveyed a
ten (10) foot sewer easement to Grantor which was recorded on November 10, 1994 as
Document No. 1994-0655273 of the Official Records of the County of San Diego (hereinafter
collectively referred to as the "Nancarrow Easement"). Said easement is more particularly
described in Exhibit A (legal description) and Exhibit B (plat) attached hereto and made a part
hereof.
2. On September 12, 1994, Peter Leonard Lagus and Jerllyn Dodge Lagus, and Peter
Leonard Lagus as Trustee of the Opal Kotesky Trust dated December 20, 1985 conveyed a ten
(10) foot sewer easement to Grantor that was recorded November 10, 1994 as Document No.
1994-0655274 of the Official Records of the County of San Diego (hereinafter the "Lagus
Easement"). Said easement is more particularly described in Exhibit C (legal description) and
Exhibit D (plat) attached hereto and made a part hereof.
3. On May 11, 1992, Conrad Morl and Mariame McDonald, Trustee V.D.T. dated
April 13, 1972 conveyed a sewer easement to Grantor that was recorded June 3, 1992 as
Document No. 1992-0343261 of the Official Records of the County of San Diego (hereinafter the
"Mori-McDonald Easement"). Said easement is more particularly described in Exhibit E (legal
description) and Exhibit F (plat) attached hereto and made a part hereof.
4. The Nancarrow Easement, the Lagus Easement, and the Mori-McDonald
Easement granted Grantor the right to assign or transfer the Nancarrow Easement, the Lagus
Easement, and the Mori-McDona1d Easement to other public agencies.
5. Grantor and Grantee now enter into this Joint Use Agreement to permit Grantor
and Grantee to jointly use the Nancarrow Easement, the Lagus Easement, and the Mori-
McDonald Easement for installation and access to water pipelines and appurtenances.
6. The Nancarrow Easement, the Lagus Easement, and the Mori-McDonald
Easement areas are hereinafter collectively referred to as the "Joint Use Area".
7. Grantee hereby reserves all rights to utilize the Joint Use Area for any and all
purposes permitted by the Nancarrow Easement, the Lagus Easement, and the Mori-McDonald
Easement. Nothing contained in this Joint Use Agreement shall be construed as granting Grantee
any exclusive rights within the Joint Use Area or as prohibiting Grantor from exercising any and
all of its rights in the Joint Use Area permitted by the Nancarrow Easement, the Lagus Easement,
or the Mori-McDonald Easement.

1. Conveyance of Joint Use Easement. Grantor hereby conveys to Grantee the right
to use the Joint Use Area. Grantee shall be limited to use of the Joint Use Area for access to
Grantee's facilities for installation, operation, maintenance, repair, and replacement of water
pipelines and appurtenances. Grantee shall not be entitled to utilize the exclusive easements for
any other purposes without obtaining the prior written consent of Grantor. Grantor hereby
expressly reserves the right to utilize the Joint Use Area for any and all purposes permitted by the
Nancarrow Easement, the Lagus Easement, and the Mori-McDonald Easement with the furtlier
express right to assign, transfer or share the Joint Use Area with other public agencies without
the consent of Grantee to the full extent permitted by the Nancarrow Easement, the Lagus
Easement, and the Mori-McDonald Easement.
2. Covenant of Non-Interference by Grantee. Grantee agrees to utilize the Joint Use
Area at all times in a manner which does not interfere with or impair Grantor's uses within or
outside the Joint Use Area or in any manner which interferes with or impairs any facilities
installed by Grantor or others within the Joint Use Area.
3. No Violation of Terms of Nancarrow. Easement, Lagus Easement. or Mori-
McDonald Easement. Grantee agrees to utilize the Joint Use Area at all times in a manner which
does not violate any term or provision of the Nancarrow Easement, Lagus Easement, or Mori-
McDonald Easement.
4. No Iniury to Persons or Property. Grantee shall utilize the Joint Use Area at all
times to as to avoid damage or injury to any persons or any real or personal property and in a
manner that does not create any public or private nuisance at any time.
5. Hold Harmless and Indemnity. Grantee shall at all times indemnify, save and hold
harmless Grantor from and against and pay in full, all loss, damage or expense that Grantor may
sustain, incur or become liable for, resulting from the sole negligence or sole intentional acts of
Grantee, its contractors, officers, agents, or employees.

Grantor shall at all times indemnify, save and hold harmless Grantee from and

liable for, resulting from the sole negligence or sole intentional acts of Grantor, its contractors,
officers, agents, or employees.
If Grantor, Grantee or their respective contractors, officers, agents, or employees
are both partially responsible for the loss, damage or expense, Grantor and Grantee shall share
the cost or loss, damage or expense in direct proportion to their degree of fault.
6. Attorneys Fees. In the event of any dispute involving this Joint Use Agreement,
whether or not litigation has commenced, or if, any arbitration proceeding, administrative
proceeding, or litigation in law or in equity, including any action for declaratory relief, is brought
to enforce, interpret, or invalidate any of the provisions of this Joint Use Agreement, the
prevailing party shall be entitled to an award of all reasonable attorney's fees, all expert fees and
costs, and all costs of the proceeding in addition to any other relief afforded by law.
7. No Assignment or Transfer. Grantee shall not assign or transfer this Joint Use
Agreement to any other person or entity without the prior written consent of Grantor. Grantor
shall have no obligation to grant this consent.
8. Jurisdiction and Venue. The parties expressly agree that jurisdiction and venue of
all disputes arising from or related to this Joint Use Agreement shall reside solely in the state
courts located in the North County Judicial District, County of San Diego. The parties expressly
agree that this is the sole jurisdiction and venue for all disputes arising under or related to this
Joint Use Agreement. The parties agree this Agreement has been entered into and requires
performance in Olivenhain, California within the North County Judicial District, County of San
Diego.
