MEMORANDUM OF OFFER OF EASEMENT
THiS MEMORANDUM OF OFFER OF EASEMENT ("Memorandum") is made and
executed as of this 5th day of March __, 1992 by Alesco
Develcpment Company, a general partnership ("Alesco")~'- '
Alesco is the owner of certain real property located in the
City of Encinitas, County of San Diego, State of California, as
further described on Exhibit A attached hereto (the "Alesco
Parcel").
Alesco has made and delivered an offer of easement (the
"Offer") to HOYT PARDEE ("Pardee") for vehicular ingress and
egress and access on, over and across a portion of the Alesco
Parcel all as set forth in that certain Reciprocal Access
Easement Agreement executed by Alesco on February 5 , 1992
(the "Easement Agreement"). The easement described by said
Easement Agreement is to be effective only upon countersignature
thereon by Pardee, or his successor in interest, and recordation
of the Easement Agreement. The Easement Agreement is currently
on file with the City of Encinitas.
This Memorandum, the Offer and the Easement Agreement, and
all of the covenants and conditions therein contained shall be
binding upon and shall inure to the benefit of the executors,
administrators, heirs, assigns and successors of each of the
parties thereto.
The Offer shall remain effective until recordation of the
Easement Agreement, or the revocation of the Offer which shall
require the written consent of the City of Encinitas.
