RESOLUTION OF THE BOARD OF
DIRECTORS OF THE CARDIFF SANITATION
DISTRICT APPROVING AND RATIFYING
EXECUTION OF AN AMENDED AND
RESTATED JOINT EXERCISE OF POWERS
AGREEMENT
WHEREAS, the Cardiff Sanitation District (the IILocal
Agencyll) is participating in the California Cash Flow Financing
Program (the "Program"), whereby participating local agencies
(collectively, the "Issuers II) will simultaneously issue tax and
revenue anticipation notes;
WHEREAS, the Program requires the Issuers to sell their
tax and revenue anticipation notes to the California Statewide
Communities Development Authority (the IIAuthorityll);
WHEREAS, in order to participate in the Program, the
Local Agency was required by the Authority to enter into and
execute the Amended and Restated Joint Exercise of Powers
Agreement Relating to the California Statewide Communities
Development Authority, dated as of June 1, 1988 (the "Amended
Agreement"), pursuant to which the Authority is in existence and
operates;
WHEREAS, the Amended Agreement was executed by the Vice
Chair of the Board of Directors pursuant to authorization
contained in the Local Agency's resolution authorizing
participation in the Program; and
WHEREAS, this Board of Directors desires to approve and
ratify the execution of the Amended Agreement;
NOW, THEREFORE, IT IS HEREBY RESOLVED, ORDERED AND
DETERMINED as follows:
Section 1. The execution of the Amended Agreement is
hereby approved and ratified.
Section 2. This Resolution shall take effect from and
after its date of adoption.
