OTd TUESDAY, FEBRUARY lst, 1938, AT ONE-THIRTY . 0'CLOCK P.M. President McChesney called the meeting to order and presided as chairman; Herbert Nunn served as secretary. . The folloveing directors answered pre,ent to roll call, viz: Directors Buckl ew, DeLay, Fr anklin, Knipe and McChesney, . Attorney Adaurice M. Mye:rs was also present. The Mattoon Act Settlement Committee appeared before the Board regarding A, I, D. #25, Seasi de Gardens. The Committee consi sted . of the following members, - T. B. YoYang, representing the Bond- holders; Leigh Young, representing the land ovuners; and S.R.Nelson, representing the County. After discussion it was decided to hold a special meeting for . the final disposal of this matter, and the date was set for Feb. 3rd, 1938, at Eight o'clock A.M. ~ The Secretary's report f or January, 1938, was presented to the Board, and upon motion by Director Franklin, seconded by Director Knipe, eame was ordered accepted and filed. City of San Diego-contract for Jan. 1372.43 Upon motion made by Director DeLay, seconded by Director Franklin, the f ollowing resolution was introduced, its adoption moved, and was thereupon unanimously passed and adopted by the affirmative vote of all dire ctors present, to-wit: R E S 0 L U T I 0 N V7HEREAS, in connection wi th the ref inancing of San Dieguito Irrigation District and the issuance of the bonds of said Dis- trict denominated "Second Issue of Bonds (Refunding)" authorized by election in said District held on the 15th day of December, 1934, it was unnecessary to use the bonds of such issue de- scribed as follows: Bonds numbered 14, 18, 22, 35, 40, 45, 50, 66, 72, 97, 104, 119, 127, 152, 180, and 211, in the pxincipal amount of Five Hundred Dollaxs ($500.00) each, and numbere 209, 209 and 210 in the principal amount of One Thousand Dollars ($1,000.00) each; and WHEREAS, sa,id unsold and unused bonds were not authorized for use for any other purpose. NOW, THEREFORE, BE IT RESOLVED that the said bonds as here- inbefore described and a11 the coupons attached to tlie same be cancelled in accordance with the provisions of Section 98 of the California lrrigation Districts Act. Upon motion made by Director Knipe, seconded by Director Frank- lin, the following Res.olution was introduced, its adoption moved, and was thereupon unanimously passed and adopt-ed by the affirm- ative vote of all directors present, to-wit: R E S 0 L U T I 0 N . WHEREAS, San Dieguito Irrigation District has heretofore taken . Tax deeds to the lands and. premises hereinafter described; and . WHEREAS, said lands and.premises are not necessaxy for the use • of said Dietxict in connection with the administrative and oper- ating business of said. district, and are no longer necessary to be • retained for the uses and purposes of said District; and . . 1NHEREAS, the District has been endeavoring to sell its title • to such premises so th-at the said lands and premises could a,gain - be pla,ced on the assessment rolls and begin co ntributing, th rough the payment of the regula.r irrigation district assessment, to • the maintenance of the district; and WHEREAS, of f ers to purchase the he re inaf ter described tracts have been rece-ived, and the best offE;rs received therefor, for quit-claim conveyances of the title acquired by the district through its tax deed, on the proceed9Lngs preliminary to such deeds are as set out in this re solution he reinafter; and • V]HEREAS, it is the judgment of the Board of Directors of San Dieguito Irrigatian District thai; such offers are the best - that can be had, and. that e ach is an offer of an adequate price and amount, and that no better sale of such intexest can be made at this time, and that it is to the best interests of the Dis- trict to accept the same; • - NOW, THEMPIFORE, BE IT RESOLVED by the Board of Directors of San. Dieguito Irrigation District, that the district quit claim its ?nterest in the premises hereinafter described, so acquired by tax deed or deeds as aforesaid, tc) the purchasers named in the following schedule, for the pricPS, respectivelytherein set out, and that the President and the Secretary of this District be and the,y are hexeby authorized to execute to such purch asers the proper Quit-C.7.aim oonveyanaes of the District's interest. G. & Berth a L. ~ Block 10 - $133,63 Kopfer V---,Lot 15, Block 16, Encinita.s 10,00 Ben Kertz Upon motion made by Director Franklin, seconded by Director Bucklevr, the following resolution was introduced, its adoption moved, and was thereupon unanimously p assed and adopted by the affirmative vote of all direc-tars present, to-wit: R E S 0 L U T I 0 N " WHEREAS, the Sa.n Dieguito Irrigation District, has heretofore taken Tax Deeds to the lands and premises hereinaftex described, and is now contemplating proceedings to quie.t its title thereto; and WHEREAS, sa,id lands and premises are not necessary for the use of said District in connection with the ad.ministra.tive and operating business of said District; and are no longer necessary to be re- tained for the uses and purposes of said District; and VPHEREAS, the District is •endeavoring to sell its title tQ such premises so th at the said lands and premises can again be placed on the assessment rolls and begin contributing, through the payment of the regular irrigation district a.ssessment, to the maintenance of the district; and - WHEREAS, offers to purcha,se the hereinafter described tracts have been received, as set out in the schedule below, and that it is the judgment of the Board of I)irectors of sa.id District that such affers are the beat that can be had and that each is an offer of an adequate price and amount, anci that it is to ithe '.best interests of the District to accept the same; NOW, THEREFORE, BE IT RESOLVED by the Eoard of Directors of San Dieguito Irrigation District, that the district sell its interest in the premises hereinafter described, contingent upon the successful termination of its quiet title pro- ceedings, to the purchasers named in the following sched- ule, forthe prices respectively set out, a;nd th at the President and the Secretary of this District be and they are hereby authorized to execute to such purchasers an Agree- ment of Sale , eLs heretofore approved by this Board, and upon the receipt of the entire purchase price as set f orth in said Agreement, to execute and deliver to said purch asers the District's Grant Deed to the 1 ands and premises,respectively, described in such Agreement. Upon mation made by Director Franklin, seconded by Director Knipe, it was unanimously agreed Howard Teaby be granted a le ase to Lots 5,8,9,10,11 and 12 of Block E, North Encinitas, for one ye ar at and for a rental :price of $20.00 per year. Upon motion made by Director Frankli:n, seconded by Director Knipe, it was unanimously ordered that a Quit C3aim Deed from A. Ekstein to this Distric't, covering Lot 2 in Block 26 of Encinitas, be approved and ordered recorded. Upon motion made by Dixector Franklin, seconded by Director Delay, the f ollowing resolution was introduced, its adoption moved, and was thereupon passed and adonted by the affirmat ive . vote of all directors present, to-wit; R E S O U U T I O N RESOLVED, th at the Agreement of sale he retofore executed between this District and Frank Brezina, covering the.sale of L:ots7'97to 14 inc, in Block B of Sturges & Ratton's Subdivision of East Block 10, be cancelled, and that the deposit;~on said agreement made by the said Brezina, in the amount of $25.00, be and it is hereby transferred to the account of the Agree- ment of sale authorized this day with said Brezina, covering ~ Lots 26 & 27, Block V of Seaside Gardens Annex, and is con- sidered and accepted as the cash payment on said latter sale. A letter from Roy Wurtz offering to purchase five acres of land in the Starr tract, was read to the Board, ax1d upon motion duly made, seconded and carried, was referred to the real e state com- mittee for recommendations. OA~ Upon motion made by Director Knipe, seconded by Director DeLay, . and unanimously carried, it was ordered that the line wire recently remo ved from between Tanks Nos. 1 and 2, be sold to I..J. Harris at a price equal to 60% of the list price of said wire. Upon motion made by Director Buckleliv, seconded by Dir ector Franklin, and_ tinanimously approved, it was ordered that the following Certif- icate be accepted a.nd entered into the Minutes of this meeting, as follows - to-wit; ` rEATTFTCATF As Tn DgRTRLTCTTON OF BONDS AND SECURITIES OF SAN DIEGUITO IRRIGATION DISTRICT. STATE OF CALIFORNSA ss. COUNTY OF SAN DIEGO The undersigned, HERBERT NUNN, Secretary of the Board of Directors of San Dieguito Irrigation District, THOIIAS F. H'ARRINGTON, the Treasurer of said District, and A. L. KNIPE, a Director of said District, constituting a committee appointed by the Board of Directors of said District at its meeting on January 18th, 1938, for the purpose, hereby certify that on the 29th day of January, 1938, in pursuance of the Resolution of the Board as aforesaid adopted on January 18th, 1939, did destroy by burning the following bonds and securities of the said Trrigation District, to-wit: (1) All bonds received from the Reconstruction Finance Corporation of 'the first issue of bonds of said Dietrict a,nd numbered as follows; 35 to 53 inclusive, 57 to 67, inclusive, 69 to 283, inclusive, 289 to 372 inclusive, and 378 to 400 ' inclusive, a total of 352 bonds, of a face value of $352,000.00. (2) All the bonds of the fir st is sue paid h eretofore by the District as they matured and which were of sa.id issue numbered as follows: 2 to 34 inclusive, and 54, 55, 56 and 68. (3) And also all the bonds of the first issue heretofore purchased by the Dietrict for its own account which were. ordered cancelled by the Board by resolution of January 15th, 1935, and which were numbered as follows: 373 to 377 inclu- sive. (4) All of the matured and unmatured coupons from a11 of . the above described bonds in paragraph (1), (2), and (3). (5) All of the matured coupona of bonds numbered 284 to 288 irsclusive, of the first issue of bonds of said District. ~ IN WITNESS VPHEREOF, we have executed this certificate this 29th day of January, 1938• Signed; Herbert Nunn Thomas F.
